TopedoX User Terms & Conditions

Governing your access as an individual or entity utilizing the consumer applications and services.

1. Welcome to TopedoX

These User Terms & Conditions ("Terms") govern your access to and use of the TopedoX User Application, website and related services. By creating an account, accessing or using TopedoX, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. What is TopedoX?

TopedoX is a digital platform that allows users to connect with people/businesses, discover services, use messaging features, attend events, trade via Marketplace/Ecommerce stores, build profiles, and search for employment opportunities.

Note: TopedoX acts primarily as a technology platform. Unless expressly stated otherwise, TopedoX is not the seller, employer, recruiter, service provider, event organiser or contracting party in transactions conducted through the Platform.

3. Eligibility

To use TopedoX you must be at least 18 years old (or have parental/legal guardian consent where permitted), possess legal capacity, and provide accurate details. TopedoX may request verification information at any time; failure to comply may restrict platform access.

4. Your Account

You are solely responsible for maintaining accurate account information, keeping login credentials secure, protecting your password, and monitoring or reporting unauthorized access. You remain liable for all activity conducted through your account.

5. User Profiles

Users may publish profiles featuring personal/professional details, photos, skills, interests, and networking info. You must ensure all published content is accurate and lawful. TopedoX reserves the right to remove false, misleading, or inappropriate profile content.

6. Messaging & Networking

We provide direct/business messaging, follow tools, connection requests, and community features. You agree to communicate respectfully. TopedoX does not guarantee the identity, intentions, or conduct of any user; interactions are at your own risk.

7. Community Rules

The following conduct is strictly prohibited: harassment, bullying, hate speech, threats, fraud, impersonation, defamation, spam, scams, distributing malware, or any illegal activities. Violations may lead to warnings, restrictions, or permanent removal.

8. Events

Users can discover and attend business, networking, entertainment, or community events. Event organisers are fully responsible for operations. TopedoX is not responsible for event quality, venue conditions, cancellations, or participant conduct. Attendance is at your own risk.

9. Marketplace

Our Marketplace allows users to buy, sell, and exchange items. Users agree to act honestly, provide true details, and complete transactions. TopedoX does not guarantee product quality, seller/buyer performance, or delivery outcomes. Transactions occur directly between participants.

10. Ecommerce Shopping

Users may purchase from approved storefronts. Merchants are entirely responsible for product quality, descriptions, warranties, deliveries, refunds, and consumer protection compliance. TopedoX acts strictly as a technology platform facilitating the checkout.

11. Careers & Professional Networking

Users may build professional profiles, upload CVs, and apply for jobs. TopedoX does not guarantee interviews, employment, or career advancement. Users are responsible for independently verifying any employment opportunities.

12. User Content

You retain ownership of content you upload. However, you grant TopedoX a worldwide, non-exclusive licence to host, display, store, reproduce, format, and publish such content to operate and improve the Platform. You warrant that you own or have legal permission to share this content.

13. Privacy

Your privacy is important to us. Our collection, processing, and use of your personal information is governed comprehensively by the TopedoX User Privacy Policy.

14. Safety & Security

TopedoX implements identity verification, fraud prevention, account monitoring, and content moderation. We reserve the full right to suspend or restrict accounts if fraud, abuse, or security liabilities are detected.

15. Acceptable Use

Users may not circumvent platform controls, manipulate reviews, create fake accounts, engage in fraudulent activities, misrepresent identity, or interfere with Platform operations. TopedoX will actively investigate suspected violations.

16. Disclaimers

TopedoX is provided on an "as is" and "as available" basis. We do not guarantee continuous availability, error-free operation, business success, sales, employment, funding, event outcomes, or marketplace metrics. Platform use is at your own risk.

17. Limitation of Liability

To the fullest extent permitted by law, TopedoX shall not be liable for indirect, consequential, or incidental damages, lost profits, lost opportunities, data loss, or reputational harm arising from platform usage.

18. Termination

TopedoX may suspend or terminate accounts where these Terms are violated, fraud is suspected, security concerns arise, or laws are breached. Users retain the right to stop using the platform at any time.

19. Changes to These Terms

TopedoX may update these Terms periodically. Material changes will be communicated through in-app notifications, website notices, or email. Continued platform use after changes take effect constitutes binding acceptance.

TopedoX Partner Terms & Conditions

Governing commercial commercial relationships, merchants, recruitment firms, and event organizers.

1. Introduction

These Partner Terms & Conditions ("Partner Terms") govern the relationship between TopedoX and any business, merchant, service provider, recruiter, advertiser, event organiser, employer, sponsor, marketplace seller or commercial participant ("Partner") using the TopedoX Partner App. By registering, you agree to be bound by these terms.

2. Partner Programme

TopedoX provides a digital ecosystem for Partners to promote businesses, sell products/services, publish events, advertise, recruit talent, and engage with consumers. TopedoX acts as a technology platform and does not become a party to transactions between Partners and users.

3. Partner Eligibility

Partners must be legally authorized to operate their business, maintain up-to-date regional licences/permits, comply with local laws, and supply accurate data. TopedoX reserves the absolute right to approve, reject, suspend, or terminate Partner registrations.

4. Business Verification

TopedoX may require verification documents, including identity documents, company registration or VAT certificates, banking verification, proof of address, professional licences, and tax documents. Verification status can be reviewed or withdrawn at any time.

5. Business Profiles

Partners are solely responsible for ensuring the accuracy of their public profile data, branding, and listed credentials. Displaying misleading or deceptive content may result in immediate profile suspension or account removal.

6. Services & Customer Engagement

Partners may offer services, handle customer inquiries, send quotes, and manage bookings. Partners remain fully accountable for service quality, consumer satisfaction, legal compliance, and overall professional conduct.

7. Events Platform

Partners may publish events. Organizers are solely responsible for listing accuracy, event legality, safety compliance, venue arrangements, and execution. TopedoX may pre-screen listings and retains the right to reject or remove event listings without notice.

8. Event Ticketing & QR Validation

When using ticketing tools, digital tickets with QR codes are generated. Partners agree to honor valid tickets, authenticate attendees responsibly, monitor venue capacity safely, and adhere to applicable consumer protection laws.

9. Ecommerce Storefronts

Approved Partners can build stores to sell inventory. Partners handle product quality, stock levels, descriptions, shipping, returns, and refunds. TopedoX acts purely as a technology facilitator unless explicitly agreed otherwise.

10. Marketplace Selling

Partners participating in the Marketplace agree to generate accurate listings, honor closed sales, complete transactions honestly, and avoid bait marketing. Policy-violating listings will be immediately removed.

11. Recruitment & Employment Services

Partners can advertise open jobs and look through candidate applications. Partners are completely responsible for hiring decisions, employment contracts, labor compliance, and legal obligations. TopedoX does not guarantee applicant quality.

12. Advertising & Promotional Services

Partners can purchase premium featured listings, sponsored ad placements, or custom target visibility campaigns. TopedoX does not guarantee specific sales quotas, lead quantities, or consumer conversion rates.

13. Commissions, Fees & Payments

TopedoX may levy subscription fees, sales commissions, operational transaction fees, or featured ad fees. Applicable costs are clearly shown in the app console. Partners are responsible for declaring and handling all associated business taxes.

14. Payment Holds & Risk Management

TopedoX reserves the right to delay, restrict, or temporarily withhold financial payouts for fraud prevention, random verification check-ups, chargeback disputes, or security evaluations. Good faith holds do not constitute a breach of contract.

15. Customer Data & Privacy

Partners will receive the minimum required consumer data needed to fulfill active orders. Partners agree to aggressively secure customer information, respect privacy laws (POPIA), and never sell or misuse customer data without explicit authorization.

16. Intellectual Property

Partners own original content, logos, and materials uploaded. Partners grant TopedoX a non-exclusive license to showcase, store, distribute, or reproduce assets globally for operational marketing and platform optimization strategies.

17. Prohibited Activities

Partners must not engage in financial fraud, broadcast misleading marketing statements, manipulate review scoring systems, infringe third-party trademarks, list contraband/prohibited inventory, or bypass internal platform financial controls.

18. Funding Hub Disclaimer

Where Partners utilize networking features for funding, sponsorship, or investor matchups: TopedoX is not an investment adviser, is not a licensed crowdfunding platform, does not verify equity claims, and does not guarantee investment outcomes. Partners run independent due diligence.

19. Limitation of Liability

To the maximum extent permitted by law, TopedoX is not liable for business loss, lost profit, negative brand reputation, consequential damages, hiring missteps, or sales failures. Partners use commercial services completely at their own risk.

20. Termination & Enforcement

We may suspend or terminate Partner access if these terms are broken, fraud risk increases, or verification documentation fails to clear. TopedoX can wipe out listings, stores, or whole public profiles to maintain user integrity.

21. Governing Law

These Partner Terms shall be exclusively governed by and interpreted under the laws of the Republic of South Africa. Disputes are subject to South African court systems or official ADR arbitration workflows adopted by TopedoX.
